1. Acceptance of Terms

FieldOptimiz is operated by Spivak Holdings LLC. By accessing or using FieldOptimiz ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including business customers, their team members, and end-users.

2. Description of Service

FieldOptimiz is a cloud-based field service management (FSM) and customer relationship management (CRM) platform. The Service enables businesses to manage jobs, scheduling, dispatching, invoicing, estimates, customer communications, team coordination, and reporting through a unified platform.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must provide accurate and complete information when creating an account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Transmit spam, unsolicited messages, or deceptive content through the platform.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.

5. SMS Messaging Compliance

FieldOptimiz provides messaging infrastructure to facilitate transactional SMS communications. By using the SMS features of the Service, you agree to the following:

  • Customers must obtain proper end-user consent before sending SMS.
  • Customers are responsible for compliance with carrier and regulatory requirements, including but not limited to TCPA, CTIA guidelines, and carrier-specific policies.
  • FieldOptimiz provides messaging infrastructure but does not initiate unsolicited messaging.

6. Payment & Billing

  • Certain features of the Service require a paid subscription.
  • Fees are billed in advance on a recurring basis according to your selected plan.
  • All fees are non-refundable unless otherwise stated or required by law.
  • We reserve the right to modify pricing with reasonable notice.
  • Failure to pay may result in suspension or termination of your account.

7. Intellectual Property

All content, features, and functionality of the Service—including but not limited to software, text, graphics, logos, and trademarks—are the exclusive property of FieldOptimiz or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, FieldOptimiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount paid by you to FieldOptimiz in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall remain in effect.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the federal or state courts located within the United States. The legal entity responsible for the Service is Spivak Holdings LLC.
